The terms and conditions stated herein (collectively, the "Agreement") constitute a legal agreement between you and RideCentric, Inc. a Texas corporation (the "Company"). In order to use the Service (defined below) you must agree to the terms and conditions that are set out below. By using or receiving any services supplied to you by the Company (collectively the "Service"), you hereby expressly acknowledge and agree to be bound by the terms and conditions of the Agreement, and any future amendments and additions to this Agreement as published from time to time at http://ridecentric.com . The Company reserves the right to modify the terms and conditions of this Agreement or its policies relating to the Service at any time, effective upon posting of an updated version of this Agreement to our website. You are responsible for regularly reviewing this Agreement. Continued use of the Service after any such changes shall constitute your consent to such changes.

Billing

RideCentric rates are estimated inclusive of all standard charges including a suggested gratuity. Gratuity is discretionary and may be adjusted or eliminated entirely based on service received. RideCentric chauffeurs are prohibited from soliciting gratuities. Additional charges will be itemized on the customer's billing statement when applicable (e.g. tolls, parking, airport and regulatory fees, fuel surcharge, cell phone, Wi-Fi, and other incidentals incurred per passenger direction). All published rates are subject to change without notice. All rates are calculated in the local currency and billed in U.S. dollars at the prevailing exchange rate upon completion of the reservation. Due to fluctuating currency exchange rates, U.S. dollar equivalents of international rates may vary. Applicable taxes will be charged as required.

U.S. Sedan/SUV Service

Flat-Rate Rides

RideCentric has standardized routes with flat-rate pricing for direct travel to and from most major cities and airports, as well as within point-to-point transfers within 15 miles of city center. After a fifteen (15) minute grace period on all flat-rate trips that do not begin at an airport, a thirty (30) minute grace period on all domestic flight arrivals, and a forty-five (45) minute grace period on all international flight arrivals, 25% of the estimated transfer total will be charged for every fifteen (15) minutes a chauffeur is waiting. Waiting time is defined as the length of time that elapses between a scheduled pickup and a passenger getting into the reserved vehicle. Passenger-requested stops, along the route during a flat-rate trip, will be charged a "Stop Fee" for a five (5) minute time lapse and then, 25% of the estimated transfer total per fifteen (15) minute increment. Passenger-requested stops, not along the route during a flat-rate trip, will be charged the prevailing hourly rate.

Time-Based Rides

Rides between locations, to which a flat-rate does not apply, will be billed for the time the vehicle and chauffeur are at your service, which includes the travel time needed to and from the vehicle garage. The vehicle hourly rate will apply and bill at the full hour after a 15 minute grace period. Additional charges may apply when reservations occur during off hours (specific to locale). Holiday surcharges will be applicable when a reservation occurs on an international holiday specific to the locale.

After a fifteen (15) minute grace period on all flat-rate trips for all Non-Sedan/Non-SUV Vehicles that do not begin at an airport, a thirty (30) minute grace period on all domestic flight arrivals, and a forty-five (45) minute grace period on all international flight arrivals, the prevailing hourly rate will be charged for that vehicle. Waiting time is defined as the length of time that elapses between a scheduled pickup and a passenger getting into the reserved vehicle. Passenger-requested stops, along the route during a flat-rate trip for all Non-Sedan/Non-SUV Vehicles, will be charged a "Stop Fee" for a five (5) minute time lapse and then, charged the prevailing hourly rate. Passenger-requested stops, not along the route during a flat-rate trip, will be charged the prevailing hourly rate.

All non-sedan/SUV vehicles to which a flat-rate does not apply, will be billed for the time the vehicle and chauffeur are at your service, which includes the travel time needed to and from the vehicle garage. The vehicle hourly rate will apply and bill at the full hour after a 15 minute grace period. Additional charges may apply when reservations occur during off hours (specific to locale). Holiday surcharges will be applicable when a reservation occurs on an international holiday specific to the locale.

General U.S. Cancellation and No-show Fees

Excludes blackouts and special event dates**

Cancellation charges equal to the rate confirmed at time of reservation will apply unless

-Sedans are cancelled more than two (2) hours prior to scheduled pickup time. -Sport utility vehicles are cancelled more than two (2) hours prior to scheduled pickup time. -Limousines are cancelled more than one (1) day prior to the scheduled pickup date. -Vans and minibuses are cancelled more two (2) days prior to scheduled trip date. -Motor coaches are cancelled more than seven (7) days prior to scheduled trip date. -Armored Vehicles are cancelled more than seven (7) days prior to scheduled trip date. -Coordinators are cancelled more than two (2) days prior to the scheduled service date. -Security Personnel/Body Guards are cancelled more than seven (7) days prior to scheduled service date. A no-show fee equal to the price of the trips, plus any applicable waiting time fee will be charged when the passenger(s) fail(s) to arrive at the designated pickup location as scheduled. Avoid a no-show fee by calling 800-258-5466 FREE (U.S.) or 800-258-5466 (outside U.S.) if you are unable to locate your chauffeur. Modification Policy: A 10% nonrefundable administrative fee will apply if cancelled or modified within the allowable cancellation window on time based rides. Other restrictions may also apply and policies can be modified from time to time based on market, desired reservation dates and vehicle availability. All modifications that are mutually agreed upon in writing or communicated and confirmed at the time of reservation will supersede the above. Rebooking Policy Changing a reservation after the cancellation window has expired will result in a no-show charge. A new reservation must be booked at the current prevailing rate.

In addition, a chauffeur meal may be required when a ride occurs during the meal period (specific to locale, usually 1100 to 1300 and 1900 to 2100). General International Cancellation and No-Show Fees

CONSULT YOUR ACCOUNT MANAGER WITH QUESTIONS REGARDING YOUR RESERVATION CONFIRMATION, CONTRACT, SERVICE AGREEMENT, OR ADDENDUM FOR SPECIFICS AND ADDITIONAL CHARGES. AVOID A NO-SHOW FEE BY CALLING +1-214-574-5900 (OUTSIDE U.S.) IF YOU ARE UNABLE TO LOCATE YOUR CHAUFFEUR.

Cancellation charges equal to the rate confirmed at time of reservation will apply unless: -Auto/Sedan/MPV/SUV reservations are cancelled more than 24 hours prior to the scheduled day of service. -Van/Mini-Bus reservations are cancelled more than three (3) days prior to scheduled day of service. -Any other vehicles, including armored vehicles, are canceled more than seven (7) days prior to the scheduled day service. --All International Staffing must be cancelled more than seven (7) days in advance. A no-show fee equal to price of the trip, plus any applicable waiting time fee, will be charged when the passenger(s) fail(s) to arrive at the designated location. All rates are calculated in the local currency and billed in U.S. dollars at the prevailing exchange rate upon completion of the reservation. Due to fluctuating currency exchange rates, U.S. dollar equivalents of international rates may vary.

OTHER TERMS

Modification Policy A 10% nonrefundable administrative fee will apply if cancelled or modified within the allowable cancellation window on time based rides. Other restrictions may also apply and policies can be modified from time to time based on market, desired reservation dates and vehicle availability. All modifications that are mutually agreed upon in writing or communicated and confirmed at the time of reservation will supersede the above. Rebooking Policy Changing a reservation after the cancellation window has expired will result in a no-show charge equal to the estimated trip fare. A new reservation must be booked at the current prevailing rate. Inclement Weather During periods of inclement weather, when road conditions are deemed to be treacherous, all rides will be billed at the hourly rate - garage to garage. In the interest of safety, transfer service is not offered during periods of inclement weather. Delays RideCentric shall not be liable for circumstances beyond its control, including but not limited for delays due to traffic, road conditions, accidents, breakdowns, flight diversions, weather, regional unrest, or any other unforeseeable acts of God. Blackout Dates and Special Events Increased rates and hourly minimums may apply for special events such as NYE – Dec 31st, Super Bowl, All-Star Games, NASCAR, Formula 1, etc.** **Note All Special Event Change and Cancellation Policies supersede RideCentrics standard Change and Cancellation Policies and are noted on confirmations. Holiday Surcharge A 25 % U.S. holiday surcharge, based on the fare, stop and waiting time, will be charged to all trips occurring on New Year's Day, Memorial Day, Fourth of July, Labor Day, Thanksgiving Day and Christmas Day. Similar surcharges apply to trips occurring on recognized holidays in locations outside the United States. No Smoking Policy Smoking, any illegal, or dangerous behavior within a vehicle as determine by the chauffeur may cause termination of reservation without refund of any kind. Damages If the passenger damages the vehicle, the passenger and/or booker will be liable for all cost to repair the vehicle. List of Possible Damages Emergency Hatch Replacement – $300.00, Chewing Gum Damage – Minimum $50.00 per occurrence, Motion Sickness - $300.00, Broken Glassware - $10.00 each, Remote Loss – $100.00, Smoke Damage – minimum $300.00, Excessive Cleanup Fee: Minimum $300.00 Credit / Debit Card Policy. Additional fee may incur for the following services-Terminal Stops on Departure: $15.00/Stop, Extra Stop en Route: $20.00, Off Hour Fee (11am-6am): $25.00, International Arrival Charge: ** Wait Time: Per min after 15 min grace period, Dispatcher, Greeter, Trip Director: $45./hr-4hr min **, Extra Luggage Handling: $25.00, Pax On-board Call Out: $10.00 per call ** Inclement Weather/Flight Diversion: $35/hr for waiting at airport **=may vary per market. RideCentric reserves the right, in its sole discretion, to seek an authorization hold in excess of the estimated charges. During this time THESE FUNDS MAY NOT BE AVAILABLE FOR USE. A different payment type can be use upon ride completion. If a different payment type is used, the credit or debit card reserving the reservation will be reversed. NOTE The card holder's bank may take time to post it back to the account. The prices above are estimates only and do not include parking and tolls. Final charges for the trip are determined upon ride completion. Child Seat Disclaimer RideCentric does not provide child safety seats. Parents and guardians of children traveling in RideCentric vehicles are responsible for providing and installing child safety seats in accordance with state and federal laws. Chauffeurs are neither authorized nor certified to install this device. As such, this device must be installed by the user only. For information on how to properly install this device, please refer to the instruction manual. Parents and guardians of children traveling are responsible for installing child safety seats in accordance with state and federal laws. RideCentric assumes no responsibility for any injury, or damages suffered by the user. Parking Pass for Special Events Parking passes for special events can be purchased through the Venue, Ticket Master, or RideCentric. RideCentric may at its discretion assist in procuring passes. An additional 35% fee will be charged when RideCentric secures the passes. All charges and fees associated with parking pass purchase are strictly non-refundable. RideCentric cannot guaranty availability of passes. Parking and Pick up at Special Events RideCentric will provide specific instructions for parking/pickup procedures at special events. Should the client elect to make arrangements outside of our policy, client agrees to hold harmless RideCentric and its agents. Client will remain responsible for any additional time incurred for failure to follow our policy for parking/pickup procedures for any special event. Additionally, RideCentric will not refund money due to time lost for failure to follow RideCentrics parking/pickup procedures. Lost/Found Items RideCentric assumes no responsibility for any damage(s) to personal items left in the vehicle. In the event that lost items are found, RideCentric will attempt to return the item(s) in a timely manner at the owner's expense. Quoted Rates All quotes for Non-Black-Out Events are based on availability and valid for 72 hours from time issued unless otherwise specified and agreed by both parties. Expired rates must be re-quoted and a new quote estimate issued. Quotes for Black-Out Events are estimates only and will not be guaranteed until availability is confirmed and a full deposit taken for the cost of services. Group and Event Availability RideCentric cannot guarantee availability for any vehicles or greeters until the Event Service Agreement is signed and returned. Upon receipt, availability of vehicles will be confirmed, the agreed amount will be charged, and confirmation numbers will be issued to the booking party per manifest. RideCentric will always make every attempt to fulfill the vehicle type requested or offer alternate solutions if the vehicle type requested is not available.

ADDITIONAL

Neither RideCentric, nor any of its subcontractors or affiliates, shall be liable for or assume any liability or responsibility whatsoever for any lost or misplaced personal property or any other item left in a vehicle. In no event will RideCentric or any of its subcontractors or affiliates be liable or responsible for damages of any kind caused by any delay in performance or failure to perform, in whole or in part, any of their obligations in connection with the services, where such delay or failure is due in part to fire, earthquake, weather, traffic, road construction, strikes, government sanctioned embargo, flood, act of God, act of war or terrorism, act of any public authority or sovereign government, civil disorder, delay caused by any air or ground passenger carrier, or any other circumstances beyond the reasonable control of RideCentric, its subcontractors or affiliates.

ZERO-TOLERANCE POLICY

RideCentric & iDesignMeetings maintains a zero-tolerance policy on the use of drugs and/or alcohol, we do not discriminate based on race, religion, color, age, sex, national origin, disability, sexual orientation, veterans status, genetic information or any condition or status protected by law. Immediately upon receiving a passenger-credible complaint regarding discrimination or the use of drugs and/or alcohol by a driver, we shall suspend the respective driver and conduct an investigation into the allegation. The suspension shall remain in place throughout the duration of the investigation.

Any driver found to have violated the company’s zero-tolerance policy shall be prohibited from engaging as a driver for RideCentric & iDesignMeetings and will immediately be dismissed from its duty as a driver for our company.
